Anti-Corruption - Policy
The J-POWER Group sets forth guidelines for Prevention of Corruption (Bribery, Excessive Entertaining/Gifts, etc.) in all regions, in its Code of Corporate Conduct and Compliance Action Guidelines.
Prevention of Corruption (Bribery, Excessive Entertaining/Gifts, etc.)
- We will not entertain or give gifts to public officials or equivalent persons in a manner that conflicts with the Criminal Law, National Public Service Ethics Act, or other rules prescribed by government agencies.
- We will not give, promise, or offer financial or other rewards to foreign government officials to improperly gain a business advantage or in return for a business accommodation.
- Entertaining and the giving of gifts to business partners will be within the scope of social courtesy.
- When we have no choice but to be entertained by or accept gifts from customers or business partners, it must be within the scope of social courtesy.
In addition to the above, the Group declared its anti-corruption stance when it joined the UN Global Compact in April 2021. The international sector has adopted a zero-tolerance policy, which does not allow any form of corruption. Through these efforts, the Group is ensuring that all persons engaged in duties related to J-POWER, including those outside the Group, strictly abstain from actions that might be interpreted as collusion with politics and governments, and is working to establish trustful and open relationships.
Oversight of Anti-Corruption Policy
The Chairman serves as the top compliance officer to promote compliance including anti-corruption, with the President serving as the Chairman’s assistant and the Compliance Officer serving as the Chairman’s and President’s assistant. The J-POWER Group Compliance Action Committee chaired by Chairman, in which Group companies are invited to participate, was established as a committee to promote compliance within the Group. The committee’s duties include deliberating on compliance promotion measures, assessing the status of implementation, and addressing anti-compliance issues.
Communication of Anti-Corruption Policy to All Employees
To embed the established policies throughout the organization, we implement the following initiatives for all employees.
- Distribution of a Compliance Guidebook: We disseminate a “Compliance Guidebook” that includes the Compliance Action Guidelines and other relevant materials, including the anti-corruption policy, and ensure that employees can refer to it at any time.
- Carrying a Compliance Pledge: We provide all employees with a “Compliance Pledge” in which they pledge to comply with the Compliance Action Guidelines, including the prevention of all forms of corruption, and encourage them to sign and carry it. We require each employee to maintain a high level of awareness of, and responsibility for, anti-corruption.
Training for Staff on the Anti-Corruption Policy
In order to ensure the effectiveness of its established Compliance Action Guidelines, the J-POWER Group provides regular annual compliance training for employees, including training on anti-corruption. Through this training, the Group reinforces throughout the entire organization the Compliance Action Guidelines’ prohibition of all forms of corrupt practices.
